Notice of the 64th Annual General Meeting (AGM)

 

Notice is hereby given that the 64th Annual General Meeting of Singapore Baseball and Softball Association (SBSA) will be held on Saturday, 28 September 2024 at 10am at the SportSG Auditorium @ Sports Hub Visitor Centre, 6 Stadium Walk, Singapore 397698.


Agenda

 

1.     President’s Opening Address

2.     To approve and confirm the minutes of the 63rd Annual General Meeting

3.     Matters arising from the 63rd Annual General Meeting

4.     To approve and confirm the Annual Report for the year ended 31 March 2024

5.     To approve and adopt the Audited Financial Statements for the year ended 31 March 2024 

6.     To elect the following positions:

       i.         President

     ii.         Deputy President

    iii.         Secretary General

    iv.         Treasurer

     v.         Board Members

7.     Appointment of Auditor for the next financial year

8.     To transact Any Other Business of which at least fourteen (14) days’ notice before the date of the AGM has been given in writing to the Secretary General 



Important Notes: - (In accordance with the SBSA Constitution)


SBSA Membership

According to the current constitution of the Singapore Baseball and Softball Association (SBSA), membership is classified into three categories:

  1. Full Members (full voting rights): Full Members shall be legal entities registered in Singapore with the Registry of Societies (ROS) or the Accounting and Corporate Regulatory Authority (ACRA), Institutions of Higher Learning (IHL), Government Ministries and Statutory Boards that are willing to observe the rules and regulations of SBSA. Kindly refer to Article 9 for more details on the requirements that need to be met.

  2. Associate Members (without voting rights): Any organisations, clubs, institutions, schools, academies and Baseball, Softball and Baseball5 teams that are willing to observe the rules and regulations of SBSA but are not eligible for Full Membership.

  3. Individual Members (without voting rights): Any person above twelve (12) years of age, who is willing to observe the rules and regulations of SBSA. Applicants who are below eighteen (18) years of age must have the written consent of their parent or guardian.


As discussed during the 63rd AGM 2024, current members who do not meet the criteria for Full Membership have been granted a two-year period to comply with the new requirements to become a legal entity, as specified in the constitution. During this transitional period, these members will continue to be considered Full Members, provided they renew their Full Member membership with the SBSA by 5 September 2024.

To comply part of the requirements for Full Membership, affiliates may register as a legal entity with one of the following:

  • Registry of Societies (ROS): Affiliates interested in registering with the ROS can do so by following this link.

  • Accounting and Corporate Regulatory Authority (ACRA): Affiliates wishing to register with ACRA may do so by accessing this link.

 

Resolutions

Full Members (i.e. full voting rights) who wish to table a resolution for the General Meeting’s approval must notify the Secretary General in writing at least fourteen (14) days before the date of the AGM (in accordance with SBSA’s constitution article 14.4). Please send in the resolution by 12pm on 13 September 2024.

  • All resolutions may be sent via email to sbsa.secgen@gmail.com and  gm@sbsa.org.sg 

  • Information Required: (i) Name and IC of Proposer, (ii) Affiliate of Proposer; (iii) Resolution(s)

 

Attendance & Quorum for General Meeting

All members of SBSA shall be eligible to attend General Meetings. Each Full Member is entitled to have one (1) authorised delegate to attend a General Meeting and to speak and vote on its behalf at such meetings. Each Associate Member is entitled to have one (1) authorised representative to attend a General Meeting.

 

The AGM will commence once a quorum of at least a quarter (1/4) of the voting members (i.e. Full Members) or thirty (30) voting members, whichever is the lesser, present at a General Meeting.

 

In the event of there being no quorum at the commencement of a General Meeting, the meeting shall be adjourned for half-an-hour and should the number then present be insufficient to form a quorum, those present shall be considered a quorum, but they shall have no power to amend or make addition to the existing Constitution.
